These Terms and Conditions (the “Terms”) govern your access to and use of the websites located at utilityrescue.com, utilityrescueholdings.com, and lc.utilityrescueholdings.com (collectively, the “Sites”). The Sites are owned and operated by Utility Rescue Holdings, LLC and its affiliates (collectively, “Utility Rescue,” “we,” “us,” or “our”).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING ANY OF THE SITES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITES.

  1. Eligibility and Scope

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Sites. Certain portions of the Sites may be subject to additional terms, service agreements, or disclosures that will be presented when you access those features (“Supplemental Terms”). If Supplemental Terms conflict with these Terms, the Supplemental Terms control for that feature.

  1. Modifications to the Terms

We may revise these Terms at any time by posting an updated version on the Sites and updating the “Last Updated” date above. Changes are effective immediately upon posting. Your continued use of the Sites after changes are posted constitutes acceptance of the revised Terms.

  1. Services Overview

Utility Rescue offers (i) bill negotiation and utility savings services, and (ii) educational content, webinars, and other materials regarding personal finance, utilities, and related topics (collectively, the “Services”). Information presented on the Sites is for general informational purposes only and is not legal, financial, or investment advice.

3.1 Investment‑Related Content

Content on lc.utilityrescueholdings.com may describe private offerings of securities. No materials on the Sites constitute an offer to sell or the solicitation of an offer to buy securities except pursuant to official offering documents delivered by Utility Rescue or its placement agents. Investments are speculative and involve substantial risk. Past performance is not indicative of future results. Only qualified, accredited, or otherwise eligible investors may participate.

  1. Account Registration and Security

You may be required to create an account to access certain Services. You agree to (a) provide accurate, current, and complete information; (b) maintain the security of your credentials; (c) promptly update information as necessary; and (d) notify us immediately of any unauthorized use of your account. You are responsible for all activities under your account.

  1. Fees and Payment

If the Services you select require payment, you agree to pay all applicable fees as described at the time of purchase. Unless otherwise stated, fees are non refundable. You authorize us (and our third party payment processors) to charge your chosen payment method. We may suspend or terminate access for unpaid or overdue amounts.

  1. Permitted Use and Prohibited Conduct.

    You may use the Sites only for lawful purposes and in accordance with these Terms. You agree not to:

1. Violate any applicable law, regulation, or third party right;
2. Upload or transmit viruses or other malicious code;
3. Interfere with or disrupt the integrity or performance of the Sites;
4. Attempt to gain unauthorized access to any accounts, systems, or networks;
5. Use any data mining, scraping, robot, or similar automated method to access the Sites;
6. Misrepresent your identity or affiliation;
7. Post or transmit any content that is unlawful, fraudulent, defamatory, obscene, harassing, or otherwise objectionable.

  1. Intellectual Property

All content, trademarks, logos, and other materials on the Sites (collectively, “Content”) are owned or licensed by Utility Rescue and are protected by U.S. and international intellectual property laws. Except as expressly permitted, you may not copy, modify, reproduce, republish, upload, transmit, or distribute any Content without our prior written consent. We grant you a limited, non exclusive, non transferable, revocable license to access and view the Sites and Content for your personal, non commercial use.

  1. User Content

You retain ownership of content you post or submit through the Sites (“User Content”). By posting User Content, you grant Utility Rescue a worldwide, royalty free, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and display such User Content for the purpose of operating and improving the Sites and Services. You represent that you have all rights needed to grant this license.

  1. Third Party Links and Content

The Sites may contain links to third party websites or resources. We provide these links for convenience only and do not endorse or assume any responsibility for third party sites or content. Your use of third party sites is at your own risk and subject to their terms and policies.

  1. Disclaimer of Warranties 
    THE SITES, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, UTILITY RESCUE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, OR THAT ANY RESULTS CAN BE ACHIEVED.
  2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL UTILITY RESCUE OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITES OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITES OR SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Utility Rescue and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your (a) use of the Sites or Services, (b) User Content, or (c) violation of these Terms or applicable law.

  1. Termination
    We may suspend or terminate your access to the Sites or Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Sites will immediately cease. Sections that by their nature should survive termination will remain in effect.
  2. Governing Law; Dispute Resolution
    These Terms and any dispute arising hereunder are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Arbitration: Except for claims that qualify for small claims court, you and Utility Rescue agree to resolve any dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Harris County, Texas. Class Action Waiver: All claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
  3. International Use

    Utility Rescue is based in the United States. We make no representation that the Sites or Services are appropriate or available in other jurisdictions. If you access the Sites from outside the United States, you do so on your own initiative and at your own risk.

  4. Miscellaneous

    • Entire Agreement. These Terms, together with the Privacy Policy and any applicable Supplemental Terms, constitute the entire agreement between you and Utility Rescue regarding the Sites and Services.
    • Severability. If any provision is held unlawful or unenforceable, that provision will be deemed severed and will not affect the validity of the remaining provisions.
    • Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
    • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
